These Terms of Service (the "Terms") are a legally binding agreement between you ("you" or "your") and SERAPIS CODE S.R.L., doing business as Launchpad ("Company", "we", "us", or "our"), regarding your access to and use of our website https://launchpadjv.com (the "Site") and any related software products, digital services, or applications made available through the Site (collectively, the "Services").

Launchpad is a curated digital software platform operated by Serapis Code S.R.L. Third-party developers ("Developers") may apply to list their digital products on the platform. Upon approval by the Company, a Developer's product is made available for sale to end users. Serapis Code S.R.L. acts as the Merchant of Record for all such sales — processing payments, issuing transaction receipts, handling VAT compliance, and managing customer refunds. The Company charges a platform service fee for these services, deducted from each transaction prior to remitting the remaining amount to the Developer.
Information provided through the Services is not intended for distribution to, or use by, any person or entity in any jurisdiction where such use would be contrary to applicable law. Users who access the Services from outside Romania or the European Union do so on their own initiative and are solely responsible for compliance with their local laws.
The Site, its design, source code, databases, functionality, graphics, trademarks, and service marks (collectively, the "Content") are the proprietary property of Serapis Code S.R.L. or are used under license, and are protected by applicable copyright and trademark laws.
The intellectual property rights in software products listed on the platform remain with their respective Developers at all times. When you purchase a product through the platform, Serapis Code S.R.L. facilitates the grant of a license from the Developer to you, as governed by the applicable End User License Agreement ("EULA"). You do not acquire ownership of the underlying software or intellectual property.
By using the Services, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you have the legal capacity to enter into these Terms; (3) you are not a minor in the jurisdiction in which you reside; (4) you will not use automated or non-human means to access the Services; and (5) your use of the Services will not violate any applicable law or regulation.
You may be required to register an account to access certain features of the Services. You agree to keep your password confidential and are responsible for all activity that occurs under your account. We reserve the right to remove, reclaim, or change a username that we determine, in our sole discretion, to be inappropriate, obscene, or otherwise objectionable.
Product listings on the platform are submitted by Developers and reviewed and approved by Serapis Code S.R.L. prior to publication. While we review listings for quality and completeness, the Developer remains solely responsible for the accuracy of product descriptions, the functionality of the software, and the provision of customer support for their product. We reserve the right to remove or suspend any listing at any time for any reason, including platform policy violations or quality concerns.
6.1 Merchant of Record: Serapis Code S.R.L. is the Merchant of Record and Seller of Record for all transactions on this platform. When you complete a purchase, your payment is processed by the Company. We accept Visa, Mastercard, American Express, and other payment methods as specified at checkout.
6.2 Pricing Breakdown: The checkout page displays a full itemized breakdown of each transaction, including: the product price as set by the Developer; the platform service fee (10% + $1 per transaction); applicable VAT or sales tax calculated at the rate applicable to your country of residence in accordance with EU OSS regulations; and the final total payable.
6.3 Payment Processing: Payments are processed through our contracted payment service providers, including Stripe and CardCorp. You agree to provide accurate and complete payment information and to keep it updated as needed. All payment data is handled in accordance with PCI-DSS standards by our payment service providers.
6.4 Fund Distribution: Following each transaction, the Company remits the Developer's portion of the sale to them after deducting the platform service fee. This disbursement is administered through LaunchPad Platform LLC (USA), which acts solely as a payment distribution agent for Serapis Code S.R.L. This internal arrangement does not affect your rights as a buyer; your sole contractual counterparty for all purchases is Serapis Code S.R.L.
7.1 Standard 30-Day Guarantee: Serapis Code S.R.L. offers a thirty (30) day money-back guarantee on all software products sold through the platform. If you are unsatisfied with your purchase for any reason, you may request a full refund within 30 days of the transaction date by contacting us at contact@launchpadjv.com. Refunds are processed by the Company directly to your original payment method.
7.2 Select Status: Registered users who have achieved "Select" status based on purchase history are entitled to an extended sixty (60) day refund window ("The Shield") on qualifying purchases.
7.3 EU Right of Withdrawal: Pursuant to Article 16(m) of the EU Consumer Rights Directive, by purchasing digital content (including software and downloads) from us, you expressly consent to the immediate performance of the contract and acknowledge that you lose your statutory 14-day right of withdrawal once the digital content has been delivered or accessed. This does not affect the voluntary 30-day or 60-day money-back guarantee offered by the Company.
When you purchase a software product through the platform, Serapis Code S.R.L., acting as Merchant of Record, facilitates the grant of a license for that software to you. The terms of that license are governed by the applicable End User License Agreement (EULA) provided by the Developer. Where no separate EULA is provided, you are granted a personal, non-transferable, non-exclusive, revocable license to use the software solely for its intended purpose in accordance with these Terms. You do not acquire any ownership rights in the software.
You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to: circumventing or attempting to circumvent any security feature of the platform; attempting to defraud the Company or other users; using automated tools, bots, or scrapers to access or collect data from the Services without our express written permission; unauthorized redistribution of purchased software; and any other unauthorized commercial exploitation of the platform or its content.
The Services may provide functionality for you to submit reviews, comments, or other content ("Contributions"). Any Contributions you submit may be viewable by other users of the Services and through third-party websites. You are solely responsible for the content of your Contributions and agree that they comply with these Terms.
By submitting any Contribution to the Services, you grant Serapis Code S.R.L. an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide license to use, reproduce, modify, publish, distribute, and display such Contributions for any lawful purpose, including commercial use, without compensation to you.
When posting a review, you must: (1) have firsthand experience with the product being reviewed; (2) avoid offensive, abusive, or discriminatory language; (3) not include false or misleading information; and (4) not post reviews in exchange for compensation unless clearly disclosed. We reserve the right to remove reviews that violate these guidelines at our sole discretion.
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Terms; (2) take appropriate legal action against anyone who violates the law or these Terms; and (3) at our sole discretion and without limitation, refuse, restrict, or terminate access to the Services for any user at any time.
We are committed to protecting your personal data. Our Services are hosted in Romania within the European Union. By using the Services, you agree to the collection and processing of your data in accordance with our Privacy Policy and applicable EU data protection law (GDPR). If you access the Services from outside the EU, you consent to your data being transferred to and processed within the EU.
We respect the intellectual property rights of others. If you believe that any material available through the Services infringes a copyright you own or control, please contact us immediately at the address provided in Section 28.
These Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS.
We reserve the right to change, modify, or remove the contents of the Services at any time and for any reason at our sole discretion without prior notice. We also reserve the right to modify or discontinue all or part of the Services at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
These Terms are governed by and construed in accordance with the laws of Romania. You irrevocably consent to the exclusive jurisdiction of the courts of Romania for the resolution of any dispute arising in connection with these Terms.
In the event of a dispute relating to these Terms or your use of the Services, we encourage you to contact us first at contact@launchpadjv.com to seek an informal resolution. If the matter cannot be resolved informally, all disputes shall be submitted to the exclusive jurisdiction of the courts of Romania.
20.1 Listing Model: Developers who wish to make their products available on the platform must submit a listing application and enter into a separate Platform Listing Agreement with Serapis Code S.R.L. Listing approval is at the sole discretion of the Company. These Terms govern the relationship between the Company and its customers; the Platform Listing Agreement separately governs the relationship between the Company and its Developers.
20.2 Developer Eligibility: Developers must be legally registered business entities authorized to conduct commercial activities in their jurisdiction. Listings submitted by individuals acting solely in a personal capacity are not permitted.
20.3 Developer Responsibilities: The Developer is solely responsible for the content, accuracy, functionality, and legality of their listed products, as well as for providing end-user technical support. Serapis Code S.R.L. does not assume liability for the content or performance of any Developer's product.
20.4 Tax Responsibility: Serapis Code S.R.L., as Merchant of Record, is responsible for collecting and remitting VAT and applicable sales taxes on all transactions in accordance with EU OSS regulations and other applicable law. Developers are solely responsible for their own tax obligations on amounts received from the Company under their Platform Listing Agreement.
20.5 Affiliates and Marketing Partners: Affiliates and marketing partners operate under separate agreements with the Company and are independent contractors. These arrangements are not visible to or binding upon customers and do not alter the customer's contractual relationship with Serapis Code S.R.L.
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any such errors and to update or change information at any time without prior notice.
THE SERVICES AND ALL PRODUCTS MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SERAPIS CODE S.R.L. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SERAPIS CODE S.R.L., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THE PLATFORM. IN ALL CASES, OUR AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Serapis Code S.R.L. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (1) your use of the Services; (2) your breach of these Terms; (3) any content you submit to the Services; or (4) any violation of applicable law or the rights of a third party.
We maintain certain data you transmit to the Services for operational purposes. You are solely responsible for all data you transmit or that relates to activity you undertake using the Services. We shall have no liability for any loss or corruption of such data, and you waive any right of action against us arising from such loss or corruption.
Your use of the Services, submission of electronic forms, and completion of digital checkboxes constitute legally binding electronic communications and signatures. You agree that all agreements, notices, and communications provided to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.
